1. Introduction and Acceptance of Terms
Welcome to the KF Legacy Resources ("KFLR", "Company", "we", "us", or "our") website. These Terms of Use ("Terms", "Agreement") govern your access to and use of our website located at www.kflegacyresources.com and any related mobile applications, services, products, and content provided by KFLR (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these terms, then you may not access our Services. These Terms apply to all visitors, users, customers, and others who access or use the Services.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
2. Definitions
For purposes of these Terms:
- "Services" refers to the website, applications, products, and services offered by KFLR including but not limited to network infrastructure solutions, security systems, IT consulting, managed services, and custom software development.
- "User", "you", or "your" refers to any individual or entity accessing or using the Services.
- "Content" refers to text, images, videos, software, data, and other materials available through the Services.
- "Account" refers to any user registration or customer account created to access certain features of the Services.
3. Use License and Restrictions
Permission is granted to temporarily access and view the materials (information or software) on KFLR's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose, or for any public display (commercial or non-commercial)
- Attempt to decompile or reverse engineer any software contained on KFLR's website
- Remove any copyright or other proprietary notations from the materials

This license shall automatically terminate if you violate any of these restrictions and may be terminated by KFLR at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
4. User Accounts and Registration
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password, whether your password is with our Services or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene. We reserve the right to refuse registration of, or cancel accounts that we deem inappropriate.

KFLR provides information technology solutions and services including but not limited to:
- Network design, implementation, and management services
- Security infrastructure including firewalls, intrusion prevention, and surveillance systems
- Server, storage, virtualization, and backup/disaster recovery solutions
- IT consulting, advisory, and strategic planning services
- Custom software development, web applications, and mobile apps
- Managed IT services and outsourcing
- Product supply and integration services
The specific scope of services, deliverables, timelines, and pricing for any engagement will be defined in a separate service agreement, statement of work (SOW), or quotation. These Terms of Use apply to your general use of our website and interactions with KFLR, while service-specific terms will be outlined in your contract.
6. Quotations and Pricing
Pricing information, estimates, and quotations provided on this website or through our sales team are subject to change without notice and are valid for the period specified in the quotation document (typically 30 days unless otherwise stated). Final pricing may vary based on:
- Detailed technical requirements and scope clarification
- Site survey findings and environmental factors
- Vendor price changes, currency fluctuations, or tariff adjustments
- Product availability and supply chain constraints
- Changes in project timeline or delivery schedule
Quotations are not binding until a formal purchase order or service agreement is executed by both parties. We reserve the right to refuse or cancel any order for any reason including product availability, errors in pricing or product information, or suspected fraudulent activity.
7. Payment Terms and Conditions
Unless otherwise specified in your service agreement, the following payment terms apply:
- Payment terms are typically Net 30 days from invoice date for corporate accounts with approved credit
- Prepayment or deposit (usually 30-50%) may be required for new customers or large projects
- Payment methods accepted include bank transfer, cheque, and credit card (processing fees may apply)
- Late payment may incur interest charges at 1.5% per month (18% per annum) or the maximum allowed by law
- We reserve the right to suspend services for accounts with overdue invoices exceeding 30 days
All prices quoted are in Malaysian Ringgit (MYR) unless otherwise specified and exclude applicable taxes (GST/SST) which will be added to invoices as required by law. Exchange rates for foreign currency transactions will be determined at the time of invoice issuance.
8. Warranties and Support
KFLR warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. However, we provide our Services and website content "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
For hardware and software products supplied by KFLR:
- Manufacturer warranties apply and are subject to the manufacturer's terms and conditions
- KFLR will assist with warranty claims and RMA processes but is not responsible for manufacturer decisions
- Installation and configuration services typically carry a 30-90 day workmanship warranty
- Extended warranties and maintenance contracts are available for purchase separately
We do not warrant that the Services will meet your specific requirements, that operation will be uninterrupted or error-free, or that defects will be corrected. Any material downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall KFLR, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
- Service interruptions, data loss, or system failures
- Errors, omissions, or inaccuracies in content or information
Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid to KFLR in the twelve (12) months preceding the claim, or MYR 1,000, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless KFLR and its licensee and licensors, and their employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the Services caused damage to a third party.
11. Intellectual Property Rights
The Services and its original content (excluding third-party content and user-generated content), features, and functionality are and will remain the exclusive property of KFLR and its licensors. The Services are protected by copyright, trademark, and other laws of Malaysia and foreign countries. Our trademarks, trade dress, and logos may not be used in connection with any product or service without the prior written consent of KFLR.
For custom software development projects, intellectual property ownership will be defined in the software development agreement. Typically, upon full payment, ownership of custom-developed code and deliverables transfers to the client, while KFLR retains ownership of our proprietary frameworks, libraries, and pre-existing code components.
Third-party software licenses, open-source components, and manufacturer intellectual property remain the property of their respective owners and are subject to their licensing terms.
12. Confidentiality and Non-Disclosure
In the course of providing Services, both parties may have access to confidential information. KFLR agrees to maintain the confidentiality of your business information, network diagrams, security configurations, and other sensitive data disclosed during service engagements. We will not disclose such information to third parties except as necessary to provide the Services or as required by law.
Similarly, you agree to maintain confidentiality of any proprietary methodologies, pricing structures, or technical approaches disclosed by KFLR during the engagement. For projects requiring heightened confidentiality, a separate Non-Disclosure Agreement (NDA) may be executed.
13. Service Level Agreements (SLA)
For managed services and support contracts, specific Service Level Agreements will be defined in your service contract. Typical SLA metrics include:
- Uptime commitments (e.g., 99.9% network availability)
- Response time for support tickets (e.g., Priority 1 within 1 hour, Priority 2 within 4 hours)
- Resolution time targets based on incident severity
- Scheduled maintenance windows and advance notification requirements
SLA credits or remedies for failure to meet commitments will be as specified in your service agreement. SLAs do not apply to issues caused by factors outside KFLR's control including client-caused outages, force majeure events, or third-party service provider failures.
14. Prohibited Uses
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
- In any way that violates any applicable national or international law or regulation
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation
- To impersonate or attempt to impersonate KFLR, a KFLR employee, another user, or any other person or entity
- To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
- To use the Services in any manner that could disable, overburden, damage, or impair the Services
- To introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
15. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Upon termination, your right to use the Services will immediately cease. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.
16. Dispute Resolution and Governing Law
These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations between the parties.
If a dispute cannot be resolved through negotiation within thirty (30) days, either party may elect to pursue resolution through mediation before resorting to litigation. Any mediation shall be conducted in Kuala Lumpur, Malaysia under the rules of the Kuala Lumpur Regional Centre for Arbitration.
If mediation is unsuccessful, the parties agree to submit to the exclusive jurisdiction of the courts located in Kuala Lumpur, Malaysia for resolution of any disputes. The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees and costs.
17. Force Majeure
KFLR shall not be liable for any failure or delay in performing its obligations under these Terms or any service agreement where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials. In such events, timelines and deliverables may be adjusted accordingly.
18. Data Backup and Recovery Responsibility
While KFLR provides backup and disaster recovery solutions as part of our service offerings, clients retain ultimate responsibility for ensuring adequate backup of their critical data and systems. Even with backup systems in place, we strongly recommend that clients maintain independent backup copies of critical data.
KFLR is not responsible for data loss resulting from hardware failures, software bugs, cyber attacks, user error, or any other cause, unless such loss is directly attributable to our gross negligence or willful misconduct. Backup and disaster recovery service level objectives (RTO/RPO) will be defined in your service agreement, and we will use commercially reasonable efforts to meet those objectives.
19. Changes to Services
We reserve the right to withdraw or amend our Services, and any content we provide on the website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services are unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or the entire Services, to users, including registered users. We may update, modify, or discontinue any aspect of the Services at any time.
20. User-Generated Content
Our Services may allow you to submit comments, feedback, suggestions, testimonials, or other content ("User Content"). By submitting User Content, you grant KFLR a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media.
You represent and warrant that you own or control all rights to the User Content you submit; that the User Content is accurate and not misleading; and that use and posting of the User Content does not violate these Terms or any applicable laws. We reserve the right to remove or refuse to post any User Content for any or no reason at our sole discretion.
21. Severability and Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
No waiver by KFLR of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of KFLR to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
22. Entire Agreement
These Terms of Use, together with our Privacy Policy and any service-specific agreements you enter into with KFLR, constitute the entire agreement between you and KFLR regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
